COMPLETE RULES (“Official Rules”) of the “Cartoon Network Imagination Studios Awards” Promotion
Turner Broadcasting System Europe Limited (company no. 01927955), with its registered office at Turner House, 16 Great Marlborough Street, London W1F 7HS, United Kingdom, produces the Cartoon Network and Boomerang channels in the Europe, Middle East and Africa (“Turner”) , and is holding a free promotion entitled “Cartoon Network Imagination Studios Awards” (the “Promotion”) from 00:00:01 GMT on 21 March 2016 until 23:59:59 GMT on 30 April 2016 (the “Entry Period”) on the microsite with the URL Cartoonnetworkhq.com/imaginationstudios (the “Site”), in partnership with MultiChoice Africa (Proprietary) Limited, a company registered in South Africa, whose principal place of business is at 251 Oak Avenue, Randburg, South Africa (“MCA”) which distributes the Turner’s channels, including Cartoon Network and Boomerang across Africa (Turner and MCA are herein after referred to as the “Promoter”).
2. HOW CAN YOU PARTICIPATE?
The Promotion is open to all residents of English Speaking African countries (i.e. Angola, Botswana, Eritrea, Ethiopia, Kenya, Malawi, Mozambique, Namibia, Niger, Nigeria, Reunion, Rwanda, Sao Tome & Principe, Seychelles, South Africa, St Helena, Sudan, Swaziland, Tanzania & Zanzibar, The Gambia, Uganda, Zambia and Zimbabwe) , aged between 9 and 14 at the time of entry, who have internet access prior to and throughout the Entry Period except that employees of Promoter and its parent, subsidiary, affiliated or associated companies, its and their agents and immediate families and anyone else professionally connected with the Promotion (the “Released Parties”) are not eligible to participate.
All entrants must have the consent of their parent/legal guardian in order to enter and such parent/legal guardian must agree to the Official Rules for themselves and on behalf of the minor. By entering this Promotion each entrant agrees to be bound by these Official Rules and confirms that he or she has obtained the required parental/guardian consent from his or her parent/legal guardian.
There shall be one (1) entry routes: Individual Entries, except in Nigeria only where there shall be two (2) entry routes: (i) Individual Entries and (2) School Entries. Entrants who have entered individually may also enter via the school entry route, and vice versa.
For both entry routes, entrants will be required to submit either a story, storyboard, drawing or a video clip (together, the “Submissions”).
Entrants may enter more than one category and on an unlimited number of occasions (although use of automated means will result in that entrant being deemed ineligible).
For each category there shall be one (1) winner.
In total there shall be one three (3) winners (together the “Prize Winners”).
The Prize Winners will be chosen from all the valid entries by a panel of judges based on the following general criteria: originality, imagination and creativity. In the case of story, storyboard and video clip Submissions, there shall be additional criteria of language structure, materials, media and expression. All submissions should be expressed in English.
The decisions of Promoter will be final and binding in all matters.
All entrants selected in the Promotion as winners are subject to verification of eligibility and compliance with the terms of these Official Rules. An entrant is not a Prize Winner of any prize unless and until the entrant’s eligibility has been verified and the entrant has fully complied with these Official Rules.
Each Prize Winner shall have their submitted entry (storyboard, drawing or video clip) broadcast on the Cartoon Network and/or Boomerang channels in Africa at a time of Promoter’s choosing. Such broadcast may take place on an unlimited number of occasions.
Entrants acknowledge that the Submissions may, at Promoter’s sole discretion, need to be edited, amended or modified in order to allow for such broadcast, and grant Promoter the right to make such editions, amendments or modifications. By way of example, stories and storyboard Submission may be ‘brought to life’ and broadcast/published as an animated clip. References to Entrant Materials shall be deemed to include the submitted entries as edited, amended or modified.
In addition to the above, each Prize Winner shall receive the following Prizes:
All prize details not specified herein are at the sole discretion of the Promoter. Promoter reserves the right to substitute any Prize (or portion thereof) with one of comparable or greater value, in its sole discretion. Prizes are subject to the terms and conditions of the applicable manufacturer, supplier and/or operator. Prizes must be accepted “as is” or declined. Prizes may not be transferred or exchanged for another article or cash value.
Notice of the win will be sent to the relevant entrants, whether submitted individually or via a school, by 17:00 GMT on May 20th 2016 via the email address of the entrant’s parent/legal guardian provided at the point of entry. For school entries, Promoter may also contact the relevant school to inform them of the win.
Entrants need to ensure that the email address provided is accurate and functioning.
In order for an entrant to be a Prize Winner, by no later than one (1) week after having been notified of the win, the applicable parent/legal guardian must confirm willingness to receive the Prize on behalf of the entrant and provide a valid postal address for delivery of the physical elements of the Prize.
Failure to confirm in the specified period shall lead to forfeiture of all elements of the Prize and Promoter shall be entitled to select another entrant as a Prize Winner.
Furthermore, the Promoter may cancel the winning of a Prize in its sole discretion and without prior notice if the shipping of the Prize to the address stated by the winner is unsuccessful, and the Promoter fails to obtain the necessary information to deliver the Prize successfully following reasonable efforts or if the winner is deemed ineligible. In this case the Promoter will consider itself obliged to cancel the Prize, without the person concerned becoming entitled to any compensation as a result with Promoter reserving the right to select an alternative winner.
In order to properly administer the Promotion, Promotor will require entrants to, upon entry, submit to Promoter the following (together the “Entrant Materials”):
Promoter shall use the Entrant Materials and all data submitted to it under this Promotion, for the purposes of properly administering the Promotion. The Entrant Materials may be published on an online gallery on the Site and also broadcast on the Cartoon Network and/or Boomerang television channel in Africa as part of the Prize as described above.
Prize Winners Entrant Materials may also be published across Promoter’s social media platforms and websites, as well as seeded to national and regional press.
Parents/legal guardians on behalf of entrants grant to Promoter, its licensees, distributors, agents, representatives and other authorized users, a perpetual, worldwide, irrevocable, assignable, fully-paid, royalty-free licence, fully sub-licensable, to exercise all intellectual property rights, in and to all or any part of entrants’ Submissions, and exploit the Submissions by any means, including by creating derivative works of Submissions or for purposes of advertising and promotion, in any medium now known or hereafter developed. Such derivative works shall include, but not be limited to ‘bringing to life’ Submissions by, for example, creating an animation of a storyboard Submission as described herein.
Parents/legal guardians on behalf of entrants agree that they/entrants are not entitled to any payment, credit, notice attribution, or other compensation or consideration for any uses of Entrant Materials by Promoter, or any derivative works created from Submissions. If Promoter facilitates the creation of materials through features or activities on its websites or through its services (including its “game creator” games, mash-ups, activities, competitions, promotions, forums, etc.) that require the use of its materials, in whole or in part, Promoter hereby grants to entrants a non-exclusive licence to create a derivative work using such materials, but only for the purpose of creating entries into the Promotion always in accordance with these Official Rules, and Parents/legal guardians on behalf of entrants agree that Promoter is the owner of such materials and derivative works. If such rights in derivative works are not assignable to us, then entrants’ license to create derivative works using Promoter’s materials shall be null and void. Parents/legal guardians on behalf of entrants agree to the foregoing whether or not Entrant Materials are used by Promoter in any manner.
By submitting the Entrant Materials on behalf of the entrant, or in the case of school entries, by authorising the school to do so, each entrant’s parent/legal guardian confirms that: (i) he or she is the parent of the entrant who features in the submitted video (if applicable); (ii) he or she has full power and authority to upload the Entrant Materials; (iii) the Entrant Materials do not infringe any trademark, copyright or other proprietary rights of any party; and (iv) he or she has all the rights and permissions to use, and permit the Promoter to use, the Entrant Materials in the manner intended by the Promotion and these Official Rules.
The Released Parties expressly disclaim any responsibility for any and all claims, actions, demands and/or liability for injury, damage or loss whatsoever relating to or arising in connection with participation in this Promotion (regardless of the cause of such injury, damage or loss), Promoter’s use of any footage and/or the delivery and/or subsequent use or misuse of any of the prize awarded (including without limitation, any travel and activity related thereto). For the avoidance of doubt the Released Parties do not exclude their liability for death or personal injury caused by their own negligence.
Any dispute or complaint concerning this Promotion should be addressed to “CN Imagination Studios Awards Promotion”, Turner House, 16 Great Marlborough Street, London, W1F 7HS, UK and must be so submitted within 90 days following the close of the Entry Period. The Promoter reserves the right to shorten, defer, alter or cancel this Promotion (including without limitation the prizes offered) if it considers in its sole discretion that circumstances demand it; it cannot be held liable for this on any grounds whatsoever.

These Official Rules are subject to the laws of England and Wales. Any dispute relating to their interpretation or execution that cannot be settled amicably must be brought before the competent English courts.
